1. Introduction
These Terms of Service (“Terms”) govern your access to and use of Qursie B.V. (“Qursie”, “we”, “us”, or “our”) website, services, applications, and software (collectively, the “Services”). Please read these Terms carefully.
By accessing or using our Services, you agree to be bound by these Terms and our Privacy Policy. If you are using our Services on behalf of a company or other legal entity, you represent that you have the authority to bind such entity to these Terms.
2. Definitions
Throughout these Terms, the following definitions apply:
- “Content” refers to any text, information, data, software, graphics, messages, or other materials that are generated, provided, or otherwise made accessible on or through the Services.
- “User”, “you”, or “your” refers to any person or entity that accesses or uses the Services.
- “Account” refers to a registered account with Qursie that provides access to certain Services.
- “Subscription” refers to the paid access to premium features of the Services.
3. Account Registration and Security
To access certain features of the Services, you may be required to register for an Account. When you register, you agree to:
- Provide accurate, current, and complete information;
- Maintain and update this information to keep it accurate, current, and complete;
- Keep your Account credentials confidential and not share them with third parties;
- Notify us immediately of any unauthorized access to or use of your Account.
You are solely responsible for all activities that occur under your Account. We reserve the right to suspend or terminate your Account if any information provided proves to be inaccurate, false, or outdated.
4. Use of Services
Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, and revocable license to access and use the Services for your internal business purposes.
4.1 Restrictions on Use
You agree not to:
- Use the Services for any illegal purpose or in violation of any applicable laws;
- Use the Services to transmit any viruses, malware, or other harmful code;
- Attempt to gain unauthorized access to the Services, other user accounts, or computer systems or networks connected to the Services;
- Interfere with or disrupt the Services or servers or networks connected to the Services;
- Modify, adapt, translate, reverse engineer, decompile, or disassemble any part of the Services;
- Remove any copyright, trademark, or other proprietary notices from the Services;
- Use any robot, spider, site search/retrieval application, or other device to retrieve or index any portion of the Services;
- Collect or harvest any information about other users;
- Resell, sublicense, lease, or otherwise commercialize the Services without our prior written consent.
5. Subscriptions and Fees
Access to certain features of the Services may require a Subscription. Subscription fees, billing terms, and renewal policies will be disclosed before you purchase a Subscription.
5.1 Payment
You agree to pay all applicable fees for the Services you purchase. All fees are exclusive of taxes unless stated otherwise. You are responsible for paying all taxes, levies, or duties imposed by taxing authorities.
5.2 Refunds
Refunds, if applicable, are provided at our discretion and in accordance with our Refund Policy, which is incorporated by reference into these Terms.
5.3 Subscription Renewal
Subscriptions automatically renew for the same duration as the initial subscription period unless canceled at least 30 days before the end of the current term. You authorize us to charge your payment method for the renewal term.
5.4 Price Changes
We reserve the right to change our prices at any time. If we change the price of your Subscription, we will notify you before charging you the new price so that you can cancel your Subscription if you do not agree with the price change.
6. Intellectual Property Rights
All rights, title, and interest in and to the Services, including all copyrights, patents, trade secrets, trademarks, and other intellectual property rights, are and will remain the exclusive property of Qursie and its licensors.
6.1 Your Content
You retain all rights to any Content you submit, post, or display on or through the Services. By submitting, posting, or displaying Content on or through the Services, you grant us a worldwide, non-exclusive, royalty-free license to use, reproduce, adapt, publish, translate, and distribute such Content for the purpose of providing and improving the Services.
7. Confidentiality
“Confidential Information” means all non-public information disclosed by one party (the “Disclosing Party”) to the other party (the “Receiving Party”), whether orally or in writing, that is designated as confidential or that reasonably should be understood to be confidential given the nature of the information and the circumstances of disclosure.
The Receiving Party agrees to:
- Protect the confidentiality of the Disclosing Party's Confidential Information with at least the same degree of care as it uses to protect its own confidential information, but in no event with less than reasonable care;
- Not use any Confidential Information for any purpose outside the scope of these Terms;
- Not disclose Confidential Information to any third party without the prior written consent of the Disclosing Party.
8. Warranties and Disclaimers
THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, WE EXPRESSLY DISCLAIM ALL WARRANTIES, INCLUDING, BUT NOT LIMITED TO, THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
WE DO NOT WARRANT THAT THE SERVICES WILL MEET YOUR REQUIREMENTS, THAT THE SERVICES WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE, THAT THE RESULTS THAT MAY BE OBTAINED FROM THE USE OF THE SERVICES WILL BE ACCURATE OR RELIABLE, OR THAT ANY ERRORS IN THE SERVICES WILL BE CORRECTED.
9. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL QURSIE, ITS AFFILIATES, DIRECTORS, EMPLOYEES, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO DAMAGES FOR LOSS OF PROFITS, GOODWILL, USE, DATA, OR OTHER INTANGIBLE LOSSES, RESULTING FROM (I) YOUR ACCESS TO OR USE OF OR INABILITY TO ACCESS OR USE THE SERVICES; (II) ANY UNAUTHORIZED ACCESS TO OR USE OF OUR SECURE SERVERS AND/OR ANY PERSONAL INFORMATION STORED THEREIN; OR (III) ANY OTHER MATTER RELATING TO THE SERVICES.
IN ANY CASE, OUR AGGREGATE LIABILITY UNDER THESE TERMS SHALL NOT EXCEED THE AMOUNT YOU HAVE PAID FOR THE SERVICES, IF ANY, DURING THE SIX (6) MONTHS PRECEDING THE EVENT GIVING RISE TO THE LIABILITY.
10. Indemnification
You agree to indemnify, defend, and hold harmless Qursie, its affiliates, officers, directors, employees, consultants, agents, and licensors from and against any and all claims, liabilities, damages, losses, and expenses, including reasonable attorneys' fees and costs, arising out of or in any way connected with (i) your access to or use of the Services; (ii) your violation of these Terms; (iii) your violation of any third-party right, including without limitation any intellectual property right, publicity, confidentiality, property, or privacy right; or (iv) any claim that your Content caused damage to a third party.
11. Term and Termination
These Terms will remain in effect until terminated by either you or us. You may terminate these Terms at any time by ceasing all use of the Services and deleting your Account, if applicable.
We may terminate these Terms or suspend your access to the Services at any time, with or without notice, for any reason, including, but not limited to, if we believe that you have violated these Terms. Upon termination, your right to access and use the Services will immediately cease.
Any provisions of these Terms that by their nature should survive termination shall survive, including, without limitation, ownership provisions, warranty disclaimers, indemnity, and limitations of liability.
12. Changes to the Terms
We reserve the right, at our sole discretion, to modify these Terms at any time. If we make material changes to these Terms, we will notify you by email or by posting a notice on our website prior to the changes becoming effective. Your continued use of the Services after the effective date of the revised Terms constitutes your acceptance of the changes.
13. Governing Law and Jurisdiction
These Terms shall be governed by and construed in accordance with the laws of the Netherlands, without regard to its conflict of law provisions. You and Qursie agree to submit to the exclusive jurisdiction of the courts located in the Netherlands to resolve any legal matter arising from these Terms.
14. Dispute Resolution
Before filing a claim against Qursie, you agree to try to resolve the dispute informally by contacting us at legal@qursie.com. We'll try to resolve the dispute informally by contacting you via email. If a dispute cannot be resolved within 30 days of submission, either party may bring a formal proceeding.
15. Miscellaneous
15.1 Entire Agreement
These Terms constitute the entire agreement between you and Qursie regarding the use of the Services, superseding any prior agreements between you and Qursie relating to your use of the Services.
15.2 Waiver
The failure of Qursie to exercise or enforce any right or provision of these Terms shall not operate as a waiver of such right or provision.
15.3 Severability
If any provision of these Terms is held to be invalid or unenforceable, such provision shall be struck and the remaining provisions shall be enforced to the fullest extent under the law.
15.4 Assignment
You may not assign these Terms or any rights or obligations hereunder without the prior written consent of Qursie, and any attempted assignment without such consent shall be void. Qursie may freely assign these Terms without restriction.
15.5 Force Majeure
Qursie shall not be liable for any failure to perform its obligations hereunder where such failure results from any cause beyond Qursie's reasonable control, including, without limitation, mechanical, electronic, or communications failure or degradation.
